1. Acceptance of Terms
By accessing or using Propsy (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including registered companies, team members, contractors, and clients accessing the Service in any capacity.
Your continued use of the Service following any modifications to these Terms constitutes your acceptance of the revised Terms. We will notify you of material changes via email or a notice within the Service.
2. Description of Service
Propsy is a construction and real estate project management SaaS platform that provides: project workspace management, defect tracking and remediation ticket lifecycle management, AI-assisted inspection report generation, white-label client portals, document vaults, and real-time collaboration tools for engineers, contractors, project managers, and clients.
The Service is provided on a subscription basis. Features available to you depend on the subscription tier your company has selected (Starter, Professional, or Enterprise).
3. Account Registration & Eligibility
To use the Service, you must register an account on behalf of a company or as an individual professional. You represent that:
- You are at least 18 years of age.
- You have the legal authority to enter into these Terms on behalf of the company you represent.
- All information you provide during registration is accurate and will be kept current.
- Your account credentials are confidential; you are responsible for all activity under your account.
We reserve the right to suspend or terminate accounts that provide false information or that we reasonably suspect of unauthorized use.
4. Acceptable Use
You agree not to use the Service to:
- Upload or transmit unlawful, harmful, or fraudulent content.
- Violate any applicable laws or regulations.
- Attempt to gain unauthorized access to any part of the Service or other users' accounts.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service to send unsolicited commercial communications.
- Reverse engineer, decompile, or otherwise attempt to derive the source code of the Service.
5. Subscription, Fees & Payment
Propsy subscriptions are sold on a per-company basis at the published rates for each tier. Billing is processed securely by our authorized payment processor.
Subscriptions renew automatically at the end of each billing period (monthly or annual) unless cancelled before the renewal date. You may cancel at any time through your account settings; cancellation takes effect at the end of the current billing period.
6. Intellectual Property
The Service, including its software, design, text, graphics, and other content created by Propsy, is protected by intellectual property laws and remains the exclusive property of Propsy and its licensors. These Terms do not grant you any rights to use Propsy's trademarks, logos, or service marks.
You retain all rights to content you create using the Service, including inspection reports and project documentation. You grant Propsy a limited, non-exclusive license to store, process, and display your content solely to the extent necessary to provide the Service to you.
7. Ownership of User-Uploaded Content
All content you upload to the Service — including inspection photographs, property documents, defect observations, and project data — remains your property or the property of your client as applicable. Propsy does not claim ownership over your content.
You are responsible for ensuring you have the right to upload and process any content submitted to the Service, including any photographs of properties or individuals.
8. AI Processing Disclosure
Important: Propsy uses third-party artificial intelligence services to provide features including defect detection from inspection photographs, executive summary drafting, specialist note generation, and portfolio analytics. By using these AI features, you acknowledge and consent that:
- Images and data you submit for AI analysis will be transmitted to and processed by our third-party AI provider(s). This data is used solely to generate the requested output and is not used to train models on your proprietary content.
- AI-generated content (defect findings, summaries, notes) is a structured first pass and must be reviewed and approved by a qualified professional before use in client-facing reports or legal proceedings.
- The names of current AI provider(s) are disclosed in our Privacy Policy.
9. Limitation of Liability
To the fullest extent permitted by applicable law, Propsy and its affiliates, officers, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, even if advised of the possibility of such damages.
Our total liability to you for any claim arising out of these Terms or your use of the Service shall not exceed the amount you paid to us in the twelve months preceding the event giving rise to the claim.

10. Termination
Either party may terminate this agreement at any time. You may cancel your subscription through your account settings. Propsy may suspend or terminate your access for violation of these Terms, non-payment, or for any reason with reasonable notice.
Upon termination, your right to access the Service ceases. You may request an export of your data within 30 days of termination. After that period, we may delete your data in accordance with our data retention policy.
11. Governing Law
